Terms of Use and Sale

Notice. This website is a business-to-business platform for qualified professionals and authorized organizations in the United States. It is not directed to patients or consumers. LMG Bio LLC does not provide medical advice, prescriptions, diagnosis, treatment, compounding or dispensing services.

1. Acceptance and electronic contracting

By accessing the website or placing an order you accept these Terms. If you act for an organization, you confirm you are authorized to bind it. You consent to contracting and receiving notices electronically. A separate signed agreement with us prevails over these Terms where they conflict.

2. Definitions

"Qualified Customer" means a licensed healthcare professional, medical practice, clinic, hospital, licensed pharmacy, research laboratory or university located in the United States whose account we have verified. "Products" means items listed on the website.

3. Eligibility and verification

You must be at least 18, have legal capacity and purchase for a professional or institutional purpose. We may request professional licenses, corporate records, tax documentation, facility information, a statement of intended use and identity verification at any time, and may refuse, suspend or revoke access.

4. Product status

Products are sold "For Professional Use Only." They are not represented as approved drugs, compounded drugs, dietary supplements, foods, cosmetics or medical devices. The professional-use designation limits who may buy; it does not authorize any clinical use. You may not make efficacy, disease or weight-loss claims about any Product.

5. No medical advice

Website content is informational. We do not diagnose, prescribe, dose or dispense. Scientific references are not statements of safety or efficacy.

6. Accounts

You must provide accurate information and keep it current. Credentials are personal and may not be shared or transferred. You are responsible for activity under your account.

7. Product information

Descriptions, specifications and prices may change and may contain errors. The product label and the lot Certificate of Analysis prevail over website content.

8. Orders

Listings are invitations to offer. Your order is an offer, accepted only when we confirm or ship it. We may refuse or cancel any order for verification, compliance, fraud, pricing, sanctions or payment reasons.

9. Prices and payment

Prices are in U.S. dollars and exclude taxes and shipping, which are shown separately before payment. You authorize us and our payment processor to charge your payment method and to perform fraud, identity and sanctions screening. Improper chargebacks are prohibited; we may recover costs caused by chargebacks filed in bad faith.

Credit terms for approved customers. LMG Bio LLC may, at its sole discretion, offer payment on credit to customers it approves in writing. Credit is not available to every customer and may be changed, suspended or withdrawn at any time. Each order placed on credit is reviewed and must be approved by us before it ships; it is accepted only when we confirm that approval. Unless your approval states a different term, payment is due within 30 calendar days from the date we approve the order, as shown in the approval email and in your account, using the payment instructions we provide. We may set a credit limit, and an order that would exceed it must be paid by another available method. If any amount is past due, we may suspend your credit, hold or decline new orders on credit, and require payment before shipping any further order, in addition to any other right we have under these Terms or the law. You remain responsible for paying for orders shipped on credit, including while a claim under our Refund Policy is being reviewed.

10. Shipping and risk of loss

We ship only to approved U.S. addresses. Delivery times are estimates. Title and risk of loss pass to you upon delivery to the carrier.

11. Inspection and returns

You must inspect deliveries on receipt and report issues within the period set in the Refund Policy. All sales are final except as stated in the Refund Policy, which provides your exclusive remedies.

12. Storage and records

After delivery you are responsible for storage, handling and record-keeping, and you will cooperate with any recall or traceability request.

13. No resale or export

You may not resell, relabel, repackage, export, or sell or supply Products to patients or consumers without our prior written agreement. You will comply with all export control and sanctions laws.

14. Communications

Transactional messages are part of the service. Marketing messages include an unsubscribe option. Text messages are sent only with your separate opt-in.

15. License and intellectual property

We grant you a limited, revocable license to use the website for its intended purpose. You may not copy, reproduce, scrape, mirror or create derivative works from the website or its content.

16. Information you submit

Do not submit patient information or protected health information. You grant us a perpetual license to use suggestions and feedback.

17. Prohibited conduct

You may not misrepresent your identity, license or intended use; purchase for personal use; circumvent eligibility or shipping restrictions; use automated means to extract data; or make misleading claims about Products.

18. Third-party services

We use third parties for payment processing, carriage, analytics and license verification. We are not responsible for their services.

19. Privacy and security

Our Privacy Policy describes how we handle personal information. We will give notice of security incidents where required by law.

20. Warranties

Except for any written limited warranty, the website and Products are provided "as is," without implied warranties of merchantability or fitness for a particular purpose. Each Product will conform to its lot Certificate of Analysis at release.

21. Limitation of liability

We are not liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the amount you paid for the order concerned, or USD 100 if no purchase was made.

22. Indemnification

You will indemnify us against claims arising from your handling, resale, administration or use of Products, or from your breach of these Terms.

23. Suspension and termination

We may suspend or terminate accounts for compliance, security, fraud, diversion or supply-protection reasons.

24. Force majeure

We are not liable for delays caused by events beyond our reasonable control and may allocate available supply among customers.

25. Governing law and venue

These Terms are governed by the laws of the State of [PENDIENTE P1: state of organization], excluding the U.N. Convention on Contracts for the International Sale of Goods. The parties will negotiate in good faith for 30 days before filing any claim. Venue lies exclusively in the state and federal courts located in [PENDIENTE P1: county]. Each party waives trial by jury.

26. Changes

We may update these Terms by posting a new version with its effective date. Orders are governed by the version in effect when accepted.

27. General

If any provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent.
